Legal framework

The National Center of the Trade Register by abbreviation "C N R C" is a public institution created by the decree n° 63-249 of July 10th, 1963 under the initial denomination " the national office of industrial property (ONPI (", and taking the denomination of CNRC by the Decree n°73-188 of November 21st, 1973, with field of competence consisting in the centralization of the Trade Register issued by the court clerks . The National Center of the Trade Register is an independent administrative institution, under the aegis of the Trade Minister from March 1997.

MISSIONS

In terms of legal dispositions in force, the establishment is charged of:

  • Taking charge of trade register keeping, ensuring the respect by the economic operators of the obligations relating to the inscription in the Trade Register and organizing the practical modalities linked to these operations, in accordance with the legislative provisions and regulation in force ;

  • Organizing all obligatory legal publications to inform the third party about the various changes that occurred in the legal situation of traders and business assets and the powers of administration and management structures;

  • Keeping the public register of sales and / or pledges of business assets as well as the register of tools and equipment pledge ;

  • Keeping the public register of movable property and business assets leasing

Structures of the CNRC

The internal organization of The CNRC, presented below, is defined by Order issued by the Trade Minister dated on July 28th,2005:

General Directorate

Chaired by the general director assisted by deputy general director, the missions of General Directorate is to propose and submit for execution the activities programs, which consist on:

  • The elaboration of the business plans and the executive assessment;
  • The determination of objectives on the short-term, medium-term and long-term.
  • The elaboration and implementation of systems and management procedures in collaboration with the concerned structures.
The Department of Trade Register is charged of:
  • Keeping and managing the trade register and the nomenclature of economics activities submitted to the inscription in the Trade Register (nomenclature of economic activities).
  • Contributing to the elaboration of legislative and regulatory texts concerning the trade register and the nomenclature of economics activities, and monitoring their application.
  • Ensuring the respect of applicable legislation concerning the trade register by the local offices of CNRC.
  • Taking in charge of the digitization of files inscription in the trade register.
The Directorates of Legal Publicity, is charged of:
  • Managing every domain related to the legal publicity.
  • Editing the Official Bulletin of Legal Announcements (BOAL) and ensure its promotion and its diffusion.
  • Ensuring the printing works of official documents and all other publication related to the trade register.
  • Organizing the documentation in the Center
  • Ensuring the preservation and management of archives.
The Directorate of Finance and Means, is charged of:
  • Elaborating and execution the operating and equipment budgets;
  • Evaluating the needs and managing the material means and equipment.
  • Ensuring the assets management of the Center.
The Directorate of human resources, is charged of:
  • Fixing, proposing and executing of the policies of employment, recruitment and training.
  • Ensuring the application of regulations in force concerning the work relation.
  • Ensuring the management of personnel careers.
The Directorate of Informatics Services, is charged of:
  • Fixing the objectives of CNRC concerning the elaboration of computing development plans.
  • Managing telematics system, making available to the third party all statistical information provided by the CNRC, and promoting the information available online via the portal.
  • Ensuring the technical assistance for different central structures and local offices of the Center.
  • Modernizing computing system of CNRC by adapting this system with information and communications technology ( I-C-T).
The Directorate of Consultation and Legal Services, is charged of :
  • Assisting and advising the economic operators and companies creators.
  • Organizing the management and treatment of all kinds of the internal disputes in the Center or the disputes between the CNRC and the third party.
  • Elaborating the internal work procedures and contribute in the elaboration of internal conventions
The Directorate of Cooperation and Communications, is charged of :
  • Exploiting and analyzing statistics data in order to elaborate reports in relation with evaluation of economic and commercial sphere.
  • Diffusing the commercial information.
  • Establishing cooperation and collaboration relationships intra and inter sectorial in matter of the trade register .
General inspection of services:

This structure is managed by a general inspector placed under the authority of the General Director and the General inspection of services is charged of:

  • Completing all preventive interventions aiming to the find solution for failures in the organization and functioning of central and local services.
  • Undertaking all investigations and controls relating to the verification of the conditions of application of the laws and regulations in force, as well as the respect of the guidelines and directives of the General Directorate. In this context and on the basis of the data collected, the general inspection proposes to the general director of the CNRC all sanctions that can be applied.
  • Evaluating the social situation of the Center workers, to draw up periodic synthesis reports and to intervene, within the framework of the regulations in force, in the settlement of disputes, if necessary.
  • Carrying out in-depth investigations of specific nature which may be entrusted by the General Director, and to submit the conclusions accompanied by proposals for measures to be taken.
  • Forwarding and control the functioning of the CNRC local offices and the representatives at the counters of the National Agency for Investment Development (ANDI ).
Local offices:

The CNRC is represented by one or several local offices in all Wilayas.This local structure is changed of:

  • Receiving and verify the requests of registration, alteration and deregistration in Trade Register and filing of company contracts;
  • Issuing extracts of registration in the Trade Register;
  • keeping local register of trade;
  • keeping the public register of the business assets sales and pledges also the tools and equipment pledges;
  • Registration of the leasing contracts.
  • Reception of legal announcements.
  • Issuance of all documents relating to the trade register management.

The local office is directed by the officer who has the statue of public officer representative of the law.
